Terms of service
Draft · Last updated 15 October 2026
This is a draft for legal review and isn’t in force yet. The notes marked “For the lawyer” are questions for review and come out before launch.
These terms are the agreement between you and Ambidextrous Labs, the sole proprietorship in Singapore that runs Ohayo (UEN 53366238M), registered at 14 Robinson Road, #08-01A, Singapore 048545. By creating an account or using Ohayo, you agree to them. If you use Ohayo for a business, you agree on behalf of that business.
1. What Ohayo does
Ohayo lets you record short videos and send them by email to people who are new to you, with a page to watch them on. It shows you who opened, watched and replied. We may improve or change features over time. If we remove something important you pay for, we’ll tell you first.
2. Your account
- You need to be at least 18 and able to agree to these terms.
- Keep your sign-in safe. You’re responsible for what happens in your account, including anything your team members do.
- Give us accurate details, including the business name and postal address that go in your emails.
3. Who you can send hellos to
This is the most important part. Ohayo is for welcoming people who already know you. You agree to:
- Only add people who have signed up to your product, become your client or customer, or asked to hear from you.
- Never use bought, rented or scraped lists.
- Follow the anti-spam and privacy laws that apply to you and to the people you email, including Singapore’s Spam Control Act and PDPA.
- Have a lawful reason to share each person’s details with us, and tell them how you use their information.
- Respect unsubscribes. Ohayo blocks hellos to people who have unsubscribed, and you won’t try to get around that.
We may pause sending on an account with lots of bounces, spam complaints or unsubscribes while we look into it.
Please check whether we need customers to sign a separate data processing agreement, or whether it can live in these terms.
4. What you can’t do
- Send anything illegal, hateful, harassing, sexual, misleading or that infringes someone else’s rights.
- Pretend to be someone else, or send hellos for a business you don’t represent.
- Send videos of other people without their permission.
- Try to break, overload, copy or get around the limits or security of Ohayo.
- Resell Ohayo without our written agreement.
5. Your content
Your videos, words, logos and the details of your people stay yours. You give us permission to store, process, copy and show them only as needed to run Ohayo for you, for example turning your video into a format that plays everywhere and showing it on its watch page.
You confirm you have the right to everything you upload, including the music, people and places in your videos.
6. Sending
Hellos go out from Ohayo’s sending address with your name as the sender and your email for replies. Sending from your own domain may come later. Emails can be delayed, filtered or blocked by the receiving inbox, which we don’t control, so we can’t promise every email arrives.
7. Plans, billing and cancelling
- The free plan is free. Paid plans renew automatically every month or year until you cancel. Stripe handles payments.
- Each plan has limits, such as how many hellos you can send each month. If you reach a limit, you can move up a plan.
- If you email us within 14 days of starting a paid plan, we’ll refund that first payment in full.
- You can cancel anytime in Settings. You keep your plan until the end of the period you’ve paid for, then move to the free plan. Nothing is deleted, but sending and new products are limited to what the free plan allows. Apart from the 14-day refund, we don’t refund part periods, unless the law says we must.
- Prices are in US dollars. Ambidextrous Labs isn’t registered for GST, so no GST is added. If that changes, we’ll tell you before your next renewal.
- If we change our prices, we’ll email you at least 30 days before your next renewal at the new price.
- If a payment fails, we’ll try again and let you know. If it still fails after 14 days, we may pause your account until it’s sorted.
Mel chose a free plan (no trial) and US dollars. Please check the auto-renewal wording, the 14-day full refund and no refunds for part periods after that, and the founding offer (Solo at $120 a year for the first 100 customers, locked while they stay subscribed).
8. Ending your account
You can close your account anytime. You can download your people and report as a CSV before you do. We delete your account data as set out in the privacy policy.
We may suspend or close an account that breaks these terms, puts others at risk or doesn’t pay. Where we reasonably can, we’ll warn you first and give you a chance to fix it.
9. Our promises, and their limits
We work hard to keep Ohayo running well and your data safe. But Ohayo is provided “as is”. We can’t promise it will always be available, error-free or right for every purpose.
As far as the law allows, we aren’t liable for indirect or consequential losses, such as lost profits or lost data, and our total liability to you is limited to what you paid us in the 12 months before the claim. Nothing in these terms limits liability that can’t be limited by law.
Please review the disclaimer and liability cap for enforceability in Singapore, and whether consumers (not just businesses) can sign up. As a sole proprietorship, Mel is personally liable, so please advise whether to incorporate or insure before launch.
10. If someone makes a claim
If someone makes a claim against us because of what you sent through Ohayo or how you used it, you agree to cover our reasonable costs and losses.
11. Changes to these terms
If we change these terms in a way that matters, we’ll email you at least 14 days before the change takes effect. If you keep using Ohayo after that, you accept the new terms. If you don’t agree, you can cancel.
12. The law that applies
These terms are governed by the laws of Singapore, and the courts of Singapore deal with any disputes. Before going to court, we’ll both try to sort things out by talking first.
Please confirm governing law, jurisdiction and whether to add mediation (for example through the Singapore Mediation Centre) before court.
